ISO agreement review before you sign or renegotiate.

For ISOs, sales organizations, and payments businesses negotiating the contract behind a residual stream. Review the compensation terms alongside the provisions that can affect control, risk, and the ability to exit.

Review the economics and the operating relationship together

Compensation & reporting

Residual definitions, pricing schedules, deductions, changes to buy rates, reporting access, and reconciliation procedures.

Termination & continuity

Default and cure provisions, post-termination compensation, amendment rights, restrictions, and transition obligations.

Portfolio & risk

Merchant relationships, solicitation limits, assignment and sale provisions, reserves, indemnities, and allocation of losses.

A review built around the decision you need to make

  1. Define the transaction. Identify the counterparties, your role, commercial goals, and signing deadline.
  2. Assemble the contract set. Include the proposed agreement, schedules, addenda, incorporated policies, pricing, and earlier amendments.
  3. Prioritize the negotiation. Agree on the scope of review, such as an issue list, proposed revisions, or negotiation support.

The review can address a new processor relationship, renewal, acquisition of a portfolio, or a change to an existing compensation arrangement. The appropriate work depends on the documents and jurisdictions involved.

Already facing unpaid residuals?

A contract negotiation and an existing payment dispute require different preparation. If your processor has stopped paying, preserve notices, reports, amendments, and payment records.
